Terms and Conditions

1. Acceptance of Terms

Welcome to Acoustic Canvas Studios. By accessing or using our website, located at acousticcanvasstudios.com, and/or utilizing our recording, mixing, mastering, or audio restoration services (collectively, the "Services"), you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to all of these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and Acoustic Canvas Studios, located at 12 Music Row E, Nashville, TN 37203.

2. Service Usage

Acoustic Canvas Studios provides professional audio recording, mixing, mastering, and audio restoration services. These services are available to musicians, bands, producers, and other creative professionals seeking high-quality audio production. You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services.

• You are responsible for providing all necessary materials, including audio files, project details, and any specific instructions for the Services.
• We reserve the right to refuse service to anyone for any reason at any time.
• You agree not to use the Services to create, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• You are solely responsible for ensuring that you have all necessary rights and permissions to use any copyrighted material in your projects. Acoustic Canvas Studios will not be held liable for any copyright infringement issues arising from your use of the Services.

3. Payment Terms

Fees for our Services are outlined in our price list, which is available upon request and may be subject to change without notice. Payment terms are as follows:

• A deposit of 50% of the total project cost is required to secure your booking and commence work.
• The remaining balance is due upon completion of the Services and before the final audio files are delivered.
• We accept payments via credit card, debit card, and bank transfer.
• Late payments may be subject to a late fee of 1.5% per month until paid in full.
• All sales are final. No refunds will be issued once the Services have been rendered, unless otherwise agreed upon in writing by Acoustic Canvas Studios.
• If you cancel your booking with less than 48 hours' notice, the deposit will be forfeited.

Quoted prices are valid for 30 days. Projects exceeding the initial estimated time may incur additional charges, which will be communicated and agreed upon before proceeding.

4. Intellectual Property

The intellectual property rights in the audio recordings produced by Acoustic Canvas Studios belong to you, the client, upon full payment for the Services. However, Acoustic Canvas Studios retains the right to use excerpts of the audio recordings for promotional purposes, unless otherwise agreed upon in writing.

• You warrant that you own or have the necessary licenses, rights, consents, and permissions to use all audio and visual material provided to Acoustic Canvas Studios for the Services.
• Acoustic Canvas Studios will not be responsible for any copyright infringements caused by materials provided by the client.
• Acoustic Canvas Studios retains ownership of any pre-existing intellectual property used in the provision of the Services, including but not limited to studio equipment, software, and sound libraries.

5. Liability

Acoustic Canvas Studios is not liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of the Services, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if we have been advised of the possibility of such damages.

• Our liability is limited to the amount you paid for the Services.
• We are not responsible for any loss or damage to your personal belongings while on our premises.
• We are not responsible for any delays in the provision of the Services due to circumstances beyond our control, including but not limited to equipment failure, power outages, or natural disasters.
• You agree to indemnify and hold harmless Acoustic Canvas Studios, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Services or your breach of these Terms.

6. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through good faith negotiation between the parties. If the parties are unable to resolve the dispute through negotiation, they agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association in Nashville, Tennessee. The decision of the arbitrator shall be final and binding on both parties.

• The arbitration shall be conducted in English.
• The costs of the arbitration shall be borne equally by the parties, unless the arbitrator determines that one party is substantially more at fault, in which case the arbitrator may allocate the costs in their discretion.
• This dispute resolution provision shall survive the termination of these Terms.

7. Termination

Acoustic Canvas Studios may terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate these Terms by ceasing to use the Services and notifying us in writing.

• Upon termination, you must pay any outstanding fees for Services rendered.
• Sections 4 (Intellectual Property), 5 (Liability), and 6 (Dispute Resolution) shall survive termination of these Terms.

8. Changes to Terms

Acoustic Canvas Studios reserves the right to modify these Terms at any time. We will post the updated Terms on our website, and the changes will be effective immediately upon posting. Your continued use of the Services after the posting of updated Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically for any updates or changes.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

12. Entire Agreement

These Terms constitute the entire agreement between you and Acoustic Canvas Studios with respect to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Acoustic Canvas Studios.
